Abstract
본고에서는 임의규정과 효력규정, 단순한 단속규정과 효력규정인 단속규정을 구별하는 논증 과정을 강행법규의 판단기준이라 칭하고, 수범자의 예측가능성을 높일 수 있는 판단기준 마련을 위해 몇 가지 제언을 해보고자 한다.
법 문언 스스로가 강행법규임을 밝히고 있는 경우라면 판단에 큰 어려움이 없을 것이다. 그러나 법이 강행법규임을 명시하지 않은 경우, 해당 법령이 강행법규인지 여부를 어떻게 판단할 것인지 문제된다.
지금까지 학설은, 강행법규성을 판단하는 문제가 어려운 것이라는 점에 공감하면서 이른바 종합적 판단설을 토대로 판례와 강행법규를 몇 가지 유형으로 분류할 뿐, 이 문제에 대해 뚜렷한 대답을 내놓지 않았다. 판례는 이와 관련하여 공법과 사법을 넘나들며 꾸준히 판단해 왔다.
판례는 법 문언만을 단순히 제시하여 판단한 사안, 입법취지(입법목적)를 검토한 일군의 사례, 이익형량에 따르는 경우 등으로 유형화 해볼 수 있다. 국가계약법 규정에 대한 지난 대법원(全) 2017. 12. 21. 선고 2012다74076 판결 [공2018상,177]은 강행법규성 판단에 관한 그간의 논의들을 일목요연하게 정리하였다. 나아가 입법취지, 체계적 해석, 공공계약의 법적성격 문제의 배후에서 사적자치의 원칙과 계약자유의 수정 원리가 충돌하는 양상 및 공·사법 이원론이 갖는 의미를 드러냈다는 점에서 눈여겨 볼만하다.
그러나 판례는 구체적 타당성에 보다 집중하면서, 강행법규의 판단기준이나 심사구조가 어떠한지는 명확히 밝히지 않고 있다. 따라서 판례가 앞으로 이 문제를 어떻게도 다룰지도 사실 예측하기가 어렵다. 이렇게 되면 법의 규범력 약화를 초래할 우려가 있다.
일반적으로 법문언이 강행법규임을 명시하지 않은 경우 강행법규성을 판단하기 위해, 법문의 표현, 입법목적과 규정의 취지, 강행법규로 규율되어야 할 영역에 해당하는지 여부에 대한 검토와 함께 여러 가지 이익형량이 이루어지게 된다. 본고에서는 이에 더하여 추가적인 심사 요소로서, 입법목적과 법이 예정하거나 금지한 수단·행위 간의 긴밀한 연관 관계에 대한 검토가 필요하다고 본다.
강행법규는 일정한 결과를 달성하기 위해 특정한 수단을 예정하는 유형과 어떤 결과를 회피하기 위해 일정한 행위를 금지하는 유형의 법령으로 크게 구별할 수 있다. 특정한 수단을 예정하고 있는 경우 강행법규임을 주장하는 측에서 특정한 수단을 합의로 배제하거나 우회하는 경우 입법목적이 달성되기 어렵다는 점을 입증해야 한다. 반면 일정한 행위를 금지하고 있는 경우에는, 강행법규임을 주장하는 측에서 법령이 금지한 행위를 통해 입법 목적이 회피하고자 하는 결과의 발생가능성이 가장 높거나 금지된 행위 자체가 곧 그 결과의 실현이라고 볼 수 있는 점을 적극적으로 입증해야 한다. 임의규정 내지 단순한 단속규정으로 보기 위해서는, 긴밀한 연관 관계에 대한 주장을 반박하거나 그 타당성을 감소시킬 수 있어야 한다.
강행법규는 공법과 사법에 두루 걸쳐있고, 규율 영역에 따라 다양한 유형이 존재하므로 획일적인 판단기준 마련은 현실적으로 어렵다. 이 점이 그간 학설과 판례가 일반론을 제시하며 구체적 타당성에 치중했던 이유이기도 하다. 그러나 강행법규는 일반적으로, 공정하고 자유로운 계약 환경 조성이라는 법치주의적 요청 아래, 특정한 수단을 예정하거나 일정한 행위를 금지하는 법형식을 취한다. 따라서 이러한 공통 요소에 근거하여 판단기준을 마련해 보는 것은, 수범자의 예측가능성을 제고하고 법의 규범력을 강화하는 길이 되리라 생각한다.
This study aims to suggest standards of distinctions between mandatory provision and non-mandatory provision.

Mandatory provision imposes legal duties on contractual parties. It nullifies the effect of legal contract. This means that mandatory provision constraints principle of private autonomy or freedom of contract. Many provisions dont stipulate mandatory effects or terms indicating mandatory effects. Thus, it is very difficult to distinguish between mandatory provision and non-mandatory provision.

However, there havent been explicit theoretical approaches to this problem. Moreover, Korean Supreme Court shows many criteria to solve this problem, but they are obscure. Several criteria such as purpose of the legislation, balancing conflicting interests and objective meaning of a law are frequently suggested to solve this problem. Up to now, the relationship of this consideration factors havent been structural.

There are two types of mandatory provision of which mandatory character is ambiguous. The first type intends to realize particular results by using specific means. The other one, on the contrary, intends to prevent particular results by prohibiting specific behavior. To sum up, mandatory provision often nullifies contractual effect by specific means or by prohibiting specific behavior.

If there arent any clues indicating nullifying effect, we should examine close connection between purpose of law and specific means/prohibited behavior. Those who insist that a certain rule is mandatory law, should prove that excluding the specific means interrupts realizing some results which purpose of the law pursues or that prohibited behavior is directly connected with some results which purpose of the law is supposed to prevent. If they couldnt prove that, a provision in question is non-mandatory.
