Abstract
People are getting more skeptical about the effect of M&A as the statistic shows that more

than half of the companies fail after M&A. Critical factors for their failure are being

researched as HR or cultural issues rather than often-emphasized legal, tax, or financial

issues. Thus, HR or cultural due diligence is being emphasized more and more for a

successful M&A management. Namely, recent researches on M&A focus more on the

process perspective than on the choice perspective. Therefore, as a review paper on the

success and failure of M&A, this paper first reviews the foregoing studies from the

perspective of strategic and HR approaches, then, with the summary of the limitation of the

foregoing studies, this paper makes recommendations for future studies.
