- Abstract
- 신상법 제461조는 「회사는 주주총회의 결의에 의하여 준비금의 전부 또는 일부를 자본에 전입할 수 있다. 전항의 경우에는 주주에 대하여 그가 가진 주식의 수에 따라 주식을 발행하여야 한다. 이 경우에는 주주의 전항의 결의가 있은 때로부터 신주의 주주가 된다.
