Abstract
1980년 4월 채택된 유엔의 "국제물품매매계약에 관한 협약"(이하 "협약" 이라 한다)은 1988년 1월 1일 중국을 포함한 10개국이 가입함으로써 발효하였다. 2005년 3월 1일 한국에 대하여도 효력을 발생하면서 협약은 한중 양국의 무역분쟁에서 우선 적용하여야 할 실질법적 규범으로 되었다.
한국 법원은 협약이 적용되는 사안의 경우 매매계약의 준거법으로서 협약이 한국 민.상법에 우선하여 적용됨을 확인하고 있다. 하지만 협약의 규율범위에 속하지만 협약이 명시적으로 규정하고 있지 않는 사항, 즉 협약의 '내적 흠결'에 관해서는 우선 협약 제7조 제2항에 의하여 협약이 기초하고 있는 일반원칙에 따라 해결하고 그러한 해결이 불가한 경우에만 법정지의 국제사법이 지정하는 준거법을 적용하여야 한다. 예컨대, 대금 및 기타 연체 금액에 대한 이자의 이자율, 대금 이외의 금전채무의 지급장소, 대금의 통화와 같은 것이다. 협약이 규율하지 않는 사항, 즉 협약의 '외적 흠결'에 관해서는 법정지의 국제사법이 지정하는 법을 준거법으로 하여 판단하여야 한다. 예컨대 매매계약의 실질적 유효성, 물품의 소유권, 소멸시효, 상계 등이 그것이다.
근래 한중간 무역분쟁의 규모가 급증함에 따라 협약의 흠결 보충 시 중국법이 준거법으로 적용되는 경우가 많아지고 있다. 이러한 경우, 한국 법원은 중국의 실질법에 의하여 문제된 쟁점을 판단하여야 하는데 그 과정에서 중국법에 대한 지식이 요구된다. 논문은 국제물품매매계약에 관한 기본이론과 한중 양국의 적용에 대한 기본적인 문제를 다룬 기초하에서(제2장) 이러한 쟁점에 대한 중국법의 규정과 중국 법원의 해석론을 중심으로 중국법에 의한 협약의 흠결 보충의 문제에 대하여 논의하고 관련 한국 판례를 비판적으로 검토한다.(제3장) 그리고 이러한 논의가 한국 법원에서 한중 양국의 동산매매계약분쟁사안에서의 모든 중국법적 쟁점을 망라적으로 다룰 수는 없음에 대비하여 중국법상 민사재판의 法源에 대하여 기본적인 소개를 한다.(제4장)
The "United Nations Convention on Contracts for the International Sale of Goods", adopted in April 1980, came into effect on January 1, 1988, with ten countries, including China. As the Convention came into effect in Korea on March 1, 2005, the Convention became a substantive rule of law to be applied first in trade disputes between South Korea and China.
South Korean courts have confirmed that the Convention takes priority over Korean Civil Law and Commercial Law as the governing law of the contract of sales in cases where the Convention applies. However, a question that is governed by but does not find an express solution in the CISG – a so-called "internal gap"- shall be settled in conformity with the general principles on which the CISG is based, or, in the absence of such principles, in conformity with the applicable law by virtue of the rules pertaining to private international law according to 7(2) of CISG. This includes, interest rate on money and other overdue amounts, place of payment of non-price financial debt, price currency and so on. A question that is not governed by the CISG- a so- called "external gap"- shall be directly governed by the law designated by the international private law of venue. This includes, substantial validity of the contract, ownership of goods, extinctive prescription, setoff and so on.
Recently, as the scale of trade disputes between China and South Korea are rapidly increases, the number of cases in which Chinese law is being applied as the governing law to fill the gaps of the CISG is increasing. In such cases, South Korean courts must judge the issue in question under the substantive law of China, and knowledge of Chinese law is required in this process. After introducing the background of the CISG and issues related to its application in South Korea and China (Chapter 2), this paper mainly discusses gap-filling of the CISG with Chinese law, focusing on the Supplementary Application of Chinese Law and Interpretation of Chinese Courts, and also critically reviews related cases in South Korean courts(Chapter 3). In addition, as this discussion can not cover all the legal issues arising from contractual disputes between South Korea and China raised in the South Korean courts pertaining to Chinese law, this paper also provides a basic introduction to the legal sources of civil litigation in Chinese law(Chapter 4).
