외부 최고경영자 영입을 통한 기업의 변화와 성장: LG생활건강

Abstract

최고경영자의 교체는 기업의 경영활동 전반에 걸쳐서 커다란 변화를 가져온다. 선행연구에 따르면 환경의 급격한 변화 혹은 저성과 문제에 직면한 기업들은 변화를 시도하기 위해서 외부 최고경영자를 선임하는 경향을 보인다. 하지만 국내기업, 특히 기업집단에 속한 계열기업들에서 최고경영자를 외부에서 선임하는 것은 매우 드문 것이 사실이다. 이러한 측면에서 2005년 외부 최고경영자로 취임한 이후 현재까지 LG생활건강의 최고경영자로서 기업을 성공적으로 이끌어 오고 있는 차석용 부회장은 매우 드문 사례라고 할 수 있다. 2001년 LG화학에서 분할 설립된 LG생활건강은 차석용 부회장이 취임하기 직전인 2004년까지 심각한 저성과 문제를 경험하고 있었다. 하지만 차석용 부회장은 과감한 조직변화를 통해 LG생활건강의 저성과 문제를 극복하였을 뿐만 아니라, 적극적인 인수․합병을 통해 기업의 사업영역과 규모를 급격히 확장해 왔다. 그 결과 지난 15년간 LG생활건강의 매출액은 7.96배, 영업이익은 21.7배, 시가총액은 무려 45.93배가 증가하였다. 외부 최고경영자인 차석용 부회장이 주도한 극적인 변화와 성공은 국내에서는 아직 보편적이지 않은 외부승계 전문경영자의 역할에 대한 심도 있는 분석이 필요함을 시사한다. 본 사례 연구는 LG생활건강이 LG화학으로부터 분리된 이후 현재까지의 변화 및 성장 과정을 외부승계를 통해 영입된 전문경영자의 역할을 중심으로 살펴봄으로써, 우리나라 기업들에게 기업의 지배구조 개선 및 경영권 승계와 관련하여 중요한 시사점을 제공하는 것을 목적으로 한다.

CEO succession has a great impact on every side of the firm. Faced with environmental changes or performance problems, firms appoint outside CEOs to create a momentum for strategic changes. However, it is difficult to find successful outside CEOs in the affiliates of domestic business groups. In this regard, it is unusual that Seok-Yong Cha, the first outside CEO of LG H&H, has successfully run the firm for more than 15 years. When he was appointed in 2004, LG H&H experienced severe performance problems. LG H&H lost its competitive advantages and failed to meet performance goals. Although he was appointed during the downturn, he had overcome performance problems through drastic organizational changes and has expanded the scale and scope of LG H&H through a series of M&As. The changes and growth led by Seok-Yong Cha as an outside CEO are hard to find in other Korean firms. This study discusses the role of Seok-Young Cha as an outside CEO in leading to the changes and growth of LG H&H since its separation from LG Chemical in 2001. Further, this study provides implications about the conditions under which outside CEOs in Korean firms can contribute to their firms.
