가상자산의 법적 성격

Abstract

가상자산(Virtual Asset)은 우리 법학계의 뜨거운 감자이다. 특히, 국제적인 논의가 어느덧 결실을 맺어 그 외형을 갖추어 가고 있고, 우리나라에서도 이들을 토대로 다양한 입법들이 추진되는 중이다. 그러나 이 국제적인 논의를 우리법에 수용함에 있어서는 우리 법체계와의 정합성이 요구된다. 민사법적인 부분에서 특히 문제되는 것은 「가상자산의 물건성」이다. 물권과 채권을 준별하고 민법상의 물건에 대하여만 물권법을 적용하는 우리 법체계에서, 가상자산이 물건인가는 어떤 법적 틀이 적용될 것인가에 있어 핵심적인 전제이다. 법제에 따라서는 물(物)을 반드시 유체물 등에 한정하지 않고, 소유(所有) 역시 우리 민법상의 소유권과 다른 수준으로 이해하기도 한다. 다른 국가들(특히 영미법계)에서의, 또 국제적인 논의들을 이해하고 또 우리 법에 수용함에 있어서는 이 차이를 충분히 이해하여야 한다. 종래 우리 민법학계에서도 가상자산의 물건성에 대한 논의는 존재했지만, 디지털 정보는 물건이 될 수 없다는 정언적 선언을 넘어서지는 못하고 있다. 이에 본 논고는 가상자산의 형태(形態)인 전자파일에 주목하고, 공학과 자연과학, 전산학 등과의 통섭적 분석을 통해 그것이 어떤 요건과 기준 하에 민법상 물건으로 평가될 수 있을지를 고찰한다. 중앙등록방식인 전자유가증권, 분산네트워크방식인 분상원장기술을 사용한 코인과 토큰 등의 가상자산 역시 이 분석의 틀 안에서 논의한다. 한편 민법이 적용이 될 수 있는가를 중심으로 한 형태적 논의와 가상자산의 내용에 대한 논의는 구분되어야 한다. 화폐, 금, 부동산, 동산, 주식, 채권, 투자 및 수익증권, 그림, 이미지, 음악, 영상, 게임아이템, 데이터, 특허권, 저작권, 소프트웨어, 영업비밀 등 가상자산과 연결되는 다양한 쟁점들은 이 내용(內容)적 측면에서 다루어져야 한다. 본 논고에서의 논의가 가상자산에 관한 입법(立法), 행정(行政), 사법(司法)의 영역에서 민법적 해석의 기반을 제공할 수 있기를 기대한다.

Virtual assets or digital assets are a hot button and potato in Korean legal fields. Especially, as international discussion formed into norms or directives, a lot of draft legislations related to virtual assets have been promoted in the National Assembly of Republic of Korea. However in adapting the new regulation or global discussion into the legal system, it is important to consider mutual consistency with other elements in that system. The most fundamental issue in the civil law area regarding virtual assets is the legal nature of them. The Civil Act of Republic of Korea distinguishes Real Rights(Part II), ie., rights in rem and Claims(Part III), i.e., rights in personam. Legal frame of Real Rights applies only to the things defined as corporeal things, electricity, and other natural forces which can be managed (Article 98). Thus whether virtual assets are things or not, becomes a key premise in which legal framework should be applicable. In some jurisdictions, they do not limit the concept of things to corporeal things (or tangibles), and the concept of ownership is more flexible, and not stricter than in Korean Civil Act. Therefore, this difference must be fully understood when considering the adaption of the results of global discussions (especially the common law jurisdiction). Although there has been discussions in legal academia regarding whether virtual assets deemed as things, it has not gone beyond the categorical declaration that digital information cannot be things because it is intangible. In this regard, this article focuses on electronic file which constructs the form of virtual assets. By cross-academical analyzing with engineering science, natural science, and computer science, this article concludes that the electronic file is natural force which can be considered as things, even its intangibility. As a result, some manageable electronic files can be deemed as things. Next step is what is the meaning of manageable to electronic file. The same framework of this analysis can be applied to the electronic securities, which are centrally registered, and coins and tokens, which are using distributed ledger technology. The content of virtual assets also effects on the legal nature of virtual assets. Various issues related to virtual assets such as money, gold, real estates, tangibles, stocks, bonds, securities, certificates, pictures, images, music, video, game items, data, patents, copyrights, software, trade secrets, etc, are debated in the content area, not the form. Hopefully, the discussion in this paper will provide a basis for the interpretation of law in the realms of legislation, administration and judiciary regading virtual assets.
