This study examined the changes in the governance structures of Korean companies after 1997 Asian economic crisis. The governance structures of Korean companies were substantially changed after the crisis, as many people had attributed the economic crisis to the traditional governance structures of large Korean chaebols. As a result, traditional governance structure gave a way to American-style corporate governance structure. To understand the changes, we first reviewed corporate governance structure of the United States. Germany, and Japan. We then described the changes in ownership structure of Korean companies, and internal and external control mechanisms that can curb self interest seeking behaviors of owner CEOs of Korean companies. Finally, prospects of corporate governance structure of Korean companies were discussed.-
